LETTER OF INTENT PURCHASE OF THERMAL COAL – RB1, RB2 & RB3 Date: 14 August 2026 To: Potential Coal Suppliers / Producers / Authorised Sellers Mpumalanga, South Africa Subject: Letter of Intent for the Purchase of RB1, RB2 and RB3 Thermal Coal Dear Sir/Madam, We hereby express our interest and intent to procure South African thermal coal, specifically RB1, RB2 and RB3 grades, subject to availability, quality verification, commercial negotiations and satisfactory due diligence. 1. COMMODITY REQUIREMENT Commodity: Thermal Coal Preferred Grades: RB1, RB2 and RB3 Calorific Value: 24 MJ/kg and above, subject to the applicable testing basis and agreed specification Minimum Quantity: 5,000 metric tonnes and above Contract Period: Minimum 6 months, with the possibility of extension subject to mutual agreement Origin/Loading Area: Various approved locations within Mpumalanga, South Africa Delivery: To be agreed according to the buyer's requirements and available logistics Quality: To be confirmed through the seller's certified specifications and independent laboratory testing where required. 2. PRICE The purchase price shall be based on prevailing market conditions at the time of transaction, taking into consideration: Coal grade and calorific value; Ash, moisture and sulphur specifications; Quantity; Loading location; Transportation and logistics; Delivery point; Applicable market benchmarks; and Other commercially relevant factors. The final price shall be mutually negotiated and agreed between the buyer and authorised seller before execution of the definitive sale and purchase agreement. 3. PAYMENT TERMS Payment terms shall be in accordance with prevailing market practice and mutually agreed commercial terms, subject to satisfactory due diligence, verification of the coal and execution of the relevant contractual documentation. 4. TRANSACTION REQUIREMENTS The buyer is prepared to consider offers from legitimate and authorised: Coal producers; Mines; Licensed/authorised coal suppliers; Off-take holders; and Mandated sellers or representatives with verifiable authority to transact. All proposed transactions will be subject to verification of the seller's authority, availability of the commodity, quality specifications, logistics, commercial terms and applicable legal and regulatory requirements. 5. DURATION AND VOLUME The buyer is seeking a minimum six-month supply arrangement, with quantities starting from 5,000 metric tonnes, subject to the seller's available allocation and the buyer's confirmed requirements. Larger monthly or contract volumes may be considered following successful commercial discussions. 6. LETTER OF INTENT STATUS This Letter of Intent represents an expression of commercial interest and intention to purchase. It does not constitute a final Sale and Purchase Agreement, binding off-take agreement or unconditional commitment to purchase. Any transaction will become effective only after the parties have completed due diligence, agreed on the commercial and technical terms, and executed the appropriate definitive agreement. We welcome the submission of genuine coal offers together with the relevant coal specifications, available quantities, loading locations, proposed delivery arrangements and commercial terms for consideration.
